Terms of Service

By creating an account or accessing Alloy Alpha (the "Service"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms form a binding legal agreement between you and Alloy Alpha LLC, an Illinois limited liability company ("Alloy Alpha," "we," "us," or "our").

We may update these Terms from time to time. We will notify you of material changes via the application. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Alloy Alpha is a personal portfolio intelligence tool that allows users to track investment holdings, view risk analytics, receive AI-generated portfolio analysis, and optionally connect brokerage accounts to sync positions automatically.

The Service is intended for personal, informational use only. It is not a broker-dealer, registered investment adviser, or financial institution.

Features may include: portfolio tracking, performance analysis, sector allocation, risk metrics, AI-powered analysis (powered by Google Gemini), market data displays, and brokerage account connectivity (powered by Snaptrade).

The Service is currently in closed beta. During the beta period, access is limited to invited users.

Beta services are provided as-is and may be incomplete, subject to change, or temporarily unavailable. We do not guarantee uptime, data retention, or feature availability during the beta period.

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time during beta without liability.

Your feedback during the beta period may be used to improve the Service. By submitting feedback, you grant us a perpetual, royalty-free license to use it.

You must be at least 18 years old and a resident of a jurisdiction where the Service is available to use Alloy Alpha.

You may only create one account per person. Sharing accounts is not permitted.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@alloyalpha.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms, abuse the Service, or engage in fraudulent activity.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial portfolio tracking purposes.

You may not: (a) reproduce, distribute, or create derivative works from the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) use the Service to develop a competing product; (d) scrape, harvest, or systematically extract data from the Service; (e) use the Service in any way that violates applicable law.

All rights not expressly granted are reserved by Alloy Alpha LLC.

You retain ownership of the portfolio data you enter into the Service (holdings, cost basis, notes, etc.). By submitting this data, you grant us a limited license to store, process, and display it solely for the purpose of providing the Service to you.

We do not sell your portfolio data to third parties.

You are responsible for the accuracy of the data you enter. Alloy Alpha is not liable for errors in analytics, risk metrics, or AI analysis that result from inaccurate input data.

You may export or delete your data at any time within the application. For full account deletion, contact privacy@alloyalpha.com.

Alloy Alpha optionally allows you to connect brokerage accounts to automatically sync your investment positions. This connectivity is provided by Snaptrade, a third-party financial data aggregation service ("Snaptrade").

By connecting a brokerage account, you acknowledge that you are using a third-party service (Snaptrade) to establish that connection, and you agree to be bound by Snaptrade's End User Terms and Conditions, available at https://snaptrade.com/terms-and-conditions.

Alloy Alpha does not store your brokerage login credentials. Authentication with your brokerage is handled directly by Snaptrade and your broker through a secure OAuth process.

Snaptrade's access to your brokerage accounts is strictly limited to the permission level you approve during the connection process. Alloy Alpha requests read-only access to positions and transaction history; no trading capability is requested or enabled.

Brokerage account data (positions, lot-level cost basis, transaction history) synced via Snaptrade is stored in your Alloy Alpha account and subject to our Privacy Policy.

You may disconnect your brokerage at any time from the MANAGE tab. Disconnecting removes Snaptrade's authorization but does not automatically delete previously synced holdings from your Alloy Alpha account.

Alloy Alpha is not responsible for errors, outages, or data inconsistencies caused by Snaptrade or your brokerage. Sync failures, delayed data, or missing transactions are outside our control.

AI-powered analysis features (Intel, Macro Stress Test, Morning Brief, and others) send your portfolio data to Google's Gemini API to generate analysis. Use of these features is subject to Google's API Terms of Service.

AI features require explicit user consent, which is collected within the application before those features are accessible.

Market data is sourced from Finnhub, CoinGecko, and Yahoo Finance. We do not guarantee the accuracy, completeness, or timeliness of market data.

Alloy Alpha is not responsible for errors, outages, or data quality issues arising from third-party data providers.

ALLOY ALPHA DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, LEGAL, OR ACCOUNTING ADVICE.

All content generated by the Service — including but not limited to AI-generated portfolio analysis, risk metrics, signals, sector analysis, and suggested alternatives — is provided for informational and educational purposes only. It does not constitute a recommendation, solicitation, or offer to buy or sell any security, asset, or financial instrument.

Past performance data displayed in the Service is historical and is not indicative of future results. Portfolio analytics and risk metrics are estimates based on available data and mathematical models — they are not guarantees of future performance.

Nothing on this platform should be construed as personalized investment advice. You should always conduct your own research and consult with a qualified, licensed financial professional before making any investment decision.

Alloy Alpha LLC is not a registered investment adviser, broker-dealer, or financial planner. We are not regulated by the SEC, FINRA, or any financial regulatory authority.

Access to Alloy Alpha is currently provided free of charge during the closed beta period.

We may introduce paid subscription plans in the future. If we do, we will provide advance notice and you will have the opportunity to accept or decline before being charged.

When paid plans are introduced, subscription fees, billing cycles, and cancellation terms will be published on the pricing page. We will process payments through a third-party payment processor (e.g., Stripe) and do not store your payment card information.

We reserve the right to change pricing at any time with reasonable advance notice to active subscribers.

You may stop using the Service and request account deletion at any time by contacting support@alloyalpha.com.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if required by law.

Upon termination, your license to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 9, 12, 13, and 14) will continue to apply.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ALLOY ALPHA LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any data, market prices, or analytics will be accurate or complete; (c) any defects will be corrected; or (d) the Service or its servers are free of viruses or other harmful components.

You assume full responsibility for your use of the Service and any reliance on information obtained through it.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLOY ALPHA LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, INVESTMENT LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full.

You acknowledge that investment losses resulting from portfolio decisions you make — including any influenced by information displayed in the Service — are solely your responsibility.

You agree to indemnify, defend, and hold harmless Alloy Alpha LLC and its officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you submit to the Service.

The Alloy Alpha name, logo, and all software, design, text, and content comprising the Service (excluding your portfolio data) are owned by Alloy Alpha LLC and protected by copyright, trademark, and other intellectual property laws.

You may not use our trademarks, logos, or trade dress without our prior written consent.

Market data, financial data, and third-party content displayed in the Service may be subject to separate intellectual property rights held by those third parties.

Our Privacy Policy, available at https://alloyalpha.com/privacy, describes how we collect, use, and share your information. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Cook County, Illinois. You consent to personal jurisdiction in those courts.

Before initiating formal legal proceedings, you agree to contact us at hello@alloyalpha.com to attempt good-faith resolution of the dispute.

Nothing in this section limits your right to file a complaint with a relevant regulatory authority.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alloy Alpha LLC regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
